Circle to Acquire Tazapay for $400 Million

Circle has agreed to acquire Singapore-based cross-border payments platform Tazapay in an all-stock transaction valued at approximately $400 million.

The proposed deal would give the USDC issuer direct access to Tazapay’s local banking relationships, payment connections, and payout infrastructure across more than 100 markets. It would also expand Circle’s ability to connect stablecoin settlement with traditional financial systems across Asia-Pacific and other emerging markets.

What Circle Actually Agreed To

Circle signed the definitive share-purchase agreement on September 4 and announced the acquisition on September 8.

The consideration will consist of Circle Class A common shares worth approximately $400 million. The number of shares will be calculated using Circle’s volume-weighted average closing price during the 20 trading days before completion. The final amount remains subject to adjustments involving Tazapay’s cash, debt, and transaction expenses.

The acquisition is expected to close in 2027, subject to customary conditions and regulatory approvals, including clearance from the Monetary Authority of Singapore. Until those requirements are satisfied, Tazapay remains an independent company.

Circle said the transaction would bring Tazapay’s team, institutional customers, and local payout rails into its global payments infrastructure. It also said existing Tazapay customers should not expect changes to services, APIs, pricing, or support because of the announcement.

Why This Deal Matters for Payment Companies

Stablecoins can move internationally at any time, but businesses still need regulated partners capable of collecting local currency, converting funds, and completing payouts in each market, part of a broader shift covered in this guide on why stablecoin rails are replacing wire transfers. 

According to the deal terms, Tazapay already processes more than $25 billion in annualized payment volume, with roughly 60% of that volume already involving stablecoins rather than traditional rails. 

Acquiring Tazapay would give Circle more direct control over that final stage of a payment, the local conversion and payout leg, instead of relying entirely on outside providers to bridge USDC into more than 100 markets.

The companies already had an established relationship before this announcement. Tazapay has been a design partner for Circle Payments Network since 2025, working directly with Circle’s infrastructure team on how stablecoin settlement connects to local payout rails. 

In March 2026, Circle Ventures also led an extension of Tazapay’s Series B round, bringing the round’s total to $36 million, a sign Circle had been building toward a deeper relationship with Tazapay well before this acquisition was announced.

What Would Still Need to Happen Before This Closes

Regulatory approval is the next major milestone. The transaction’s final value may also change with Circle’s share price and the adjustments specified in the agreement.

What this means for you: The acquisition would not create a new consumer payment product immediately. Its importance lies in Circle gaining infrastructure that could help financial institutions and payment companies move between USDC and local currencies across more than 100 markets.
